SatSetup Pro Installer Network Agreement: DRAFT TEMPLATE
DRAFT. NOT LEGAL ADVICE. This is a working template prepared for business planning. Have a licensed attorney (Florida) review and revise it before any installer signs or any lead is sold. Bracketed items [like this] are open decisions.
Version: 0.2-draft · Last updated: October 15, 2026
This Installer Network Agreement (the "Agreement") is between Callaway North, LLC, a Florida limited liability company operating the SatSetup Pro service ("SatSetup Pro," "we," "us") and the business identified in the signup form ("Installer," "you").
1. What SatSetup Pro does
SatSetup Pro runs a website that collects requests from consumers and businesses ("Customers") who want satellite internet equipment installed, and offers those requests ("Leads") to independent installers. SatSetup Pro does not perform installations, sell equipment or internet service, or set the price you charge Customers.
2. Independent contractor
You are an independent business. Nothing in this Agreement creates an employment, partnership, joint venture, franchise, or agency relationship. You control how, when, and whether you perform any work, provide your own tools, vehicles, labor and helpers, and are solely responsible for your own taxes, wages, workers' compensation, and permits. You may not hold yourself out as an employee or agent of SatSetup Pro.
3. No affiliation with Starlink or SpaceX
SatSetup Pro is not affiliated with, endorsed by, or sponsored by Space Exploration Technologies Corp. (SpaceX) or Starlink. Starlink is a trademark of SpaceX. You agree not to describe yourself, in connection with SatSetup Pro Leads, as "Starlink certified," "authorized," "official," or a SpaceX partner unless SpaceX has actually granted you that status in writing, and never to state or imply that SatSetup Pro has such status. You may use "Starlink" only to describe the equipment you install.
4. Lead offers, acceptance and exclusivity
4.1 Teaser. Each Lead is first offered to you as a teaser containing only the ZIP code, install type, and job details (for example: "Home, 2-story, shingle roof, roof mount, ~50 ft cable run" or "RV, 2022 Winnebago View, 25 ft, in-motion"). The teaser does not include the Customer's name, phone, email, or street address. 4.2 Accept or decline. You may accept or decline any Lead. You are never required to accept. 4.3 Acceptance window. You have [2 hours] from when the offer is sent to accept. If you decline or do not respond in time, the offer expires and the Lead is offered to the next eligible installer, ranked by distance from the Customer's ZIP code. [Offers sent between 9 pm and 7 am local time: window starts at 7 am.] 4.4 Exclusive on acceptance. Each Lead is offered to one installer at a time and sold to no more than one installer. Once you accept, the Lead is not offered to anyone else. 4.5 Reveal. When you accept, the Lead price is recorded for invoicing and we release the Customer's contact details to you. 4.6 No guarantee. We do not guarantee any number of Leads, that a Customer will hire you, or any amount of revenue.
5. Lead prices
You are charged only when you accept a Lead. Declined and expired offers are free.
| Install type | Price per accepted Lead |
|---|---|
| Marine / yacht | $100 |
| Business | $100 |
| RV | $100 |
| Home | $20 |
| Vehicle | $40 |
We may change prices with [14] days' written (email) notice. Changes do not affect Leads you already accepted. There is no signup or membership fee.
6. Payment terms
6.1 Pilot billing: manual invoicing. During the pilot, each accepted Lead is recorded as a billable item and invoiced to you. No card or prepaid deposit is required to join. 6.2 Invoicing cadence. We email an invoice [weekly] (or when your unbilled balance reaches [$200], whichever comes first) listing each accepted Lead, its price, and any credits. 6.3 Due date. Invoices are due within [15] days of the invoice date by [ACH, check, or another method listed on the invoice]. 6.4 Late payment. Unpaid amounts more than [15] days past due bear a late fee of [1.5%] per month or the maximum allowed by law, whichever is lower. We may pause new Lead offers until your account is current. 6.5 Future payment options (optional). We may later offer prepaid credits or card-on-file billing through a payment processor. Using them will be optional unless we give you [30] days' written notice of a change to required payment methods. 6.6 Taxes. Prices exclude any applicable sales tax.
7. Bad-lead credits
You may request a credit within 72 hours of accepting a Lead if:
- the phone number is wrong, disconnected, or not the Customer's;
- the Lead duplicates one you bought in the past [30] days (same person or address);
- the job is outside the service area and install types you set at the time of the offer; or
- the Customer says they never requested service.
"Customer didn't hire me," "price too high," or "couldn't reach after one attempt" are not grounds for credit. Request credits from your dashboard or by email, with a short reason. We review requests in good faith and may ask for evidence (such as call logs). Approved credits appear as a deduction on your next invoice (or a refund if already paid). Abuse of credit requests may result in termination.
8. Installer obligations
You agree that you will:
- Hold every license, registration, and permit your state and locality require for the work (for example, low-voltage or electrical licensing), and keep them current.
- Carry general liability insurance of at least [$1,000,000 per occurrence] and workers' compensation where required, and provide certificates on request.
- Contact each accepted Customer within [4] business hours (and within [1] business day at the latest).
- Set your own prices and give the Customer a clear quote before work starts. You are solely responsible for your work, warranty, and any damage you cause.
- Treat Customers professionally and follow all applicable consumer protection laws.
- Keep your service ZIPs, radius, install types, and contact details accurate.
- Not make any Starlink/SpaceX affiliation claims prohibited in Section 3.
9. Customer data, TCPA and privacy
9.1 Customer data may be used only to contact that Customer about the job they requested. You may not sell, share, rent, or add it to marketing lists, or use it for unrelated offers. 9.2 Customers consent to be contacted by SatSetup Pro and up to one matched installer. You must honor any opt-out ("STOP," "don't call") immediately and comply with the Telephone Consumer Protection Act (TCPA), the Telemarketing Sales Rule, the Florida Telephone Solicitation Act, and similar state laws. Do not use automated dialing or prerecorded messages unless the law permits it for that contact. 9.3 Protect Customer data with reasonable security and delete it when you no longer need it for the job [or within 24 months]. 9.4 You will indemnify SatSetup Pro for claims arising from your misuse of Customer data or violation of these laws.
10. Non-circumvention
For [12] months after a Lead is offered to you, you will not use information from the teaser or Lead to contact the Customer outside the platform without accepting and paying for the Lead, or try to obtain unpaid Leads by other means (such as a second account). You may freely serve customers who come to you independently.
11. Reviews and quality
We may ask Customers about their experience. We may pause or remove installers with repeated complaints, missed contact deadlines, or bad-lead credit abuse.
12. Disclaimers and limitation of liability
LEADS ARE PROVIDED "AS IS." TO THE FULLEST EXTENT PERMITTED BY LAW, SATSETUP PRO'S TOTAL LIABILITY UNDER THIS AGREEMENT IS LIMITED TO THE LEAD FEES YOU PAID IN THE [3] MONTHS BEFORE THE CLAIM, AND NEITHER PARTY IS LIABLE FOR INDIRECT OR CONSEQUENTIAL DAMAGES. You will indemnify and defend SatSetup Pro against claims arising from your work, your employees or subcontractors, or your breach of this Agreement.
13. Term and termination
This Agreement starts when you accept it electronically and continues until ended. Either party may end it at any time by email notice. We may suspend or end it immediately for breach, licensing or insurance lapses, Customer harm, non-payment, or prohibited affiliation claims. On termination, fees for already-accepted Leads remain owed, and Sections 2, 3, 9, 10, 12, and 14 survive.
14. General
- Governing law and venue: Laws of the State of Florida, with venue in the state or federal courts of [Marion] County, Florida.
- Entire agreement and changes: This is the entire agreement. We may update it with [14] days' email notice; continuing to accept Leads after the effective date means you accept the update.
- Notices: By email to the addresses on file.
- Assignment: You may not assign this Agreement without our consent.
- Severability: If a provision is unenforceable, the rest remains in effect.
15. Electronic acceptance
You agree that this Agreement can be signed electronically under the federal E-SIGN Act and the Florida Uniform Electronic Transaction Act (Fla. Stat. § 668.50). You sign by (1) checking the box "I have read and agree to the Installer Network Agreement," (2) typing your full legal name and title as the authorized representative of the business, and (3) submitting the form. We record the agreement version, your typed name, business name, email, date and time (UTC), and IP address and browser, and we email you a copy. That record is your signature and is as binding as a handwritten one.
